Terms of Service

1. Definitions
- →“Platform” means the TxnTrust merchant dashboard, APIs, SDKs, and associated services.
- →“Merchant” means a registered business entity that has been approved to access the Platform.
- →“Transaction” means any payment, currency conversion, wire transfer, or other financial operation initiated through the Platform.
- →“Authorised User” means an individual employed by or contracted to the Merchant who has been granted access credentials.
2. Eligibility & Account Registration
The Platform is intended for use by registered business entities only. By registering, you represent that: (a) you are authorised to enter into agreements on behalf of your organisation; (b) your organisation is a legitimately registered legal entity; (c) you have completed and will maintain up-to-date Know-Your-Business (KYB) documentation as required by applicable AML laws.
TxnTrust reserves the right to refuse or revoke account access at any time if we determine, in our sole discretion, that eligibility requirements are not or are no longer met.
3. Acceptable Use
You agree to use the Platform only for lawful B2B commercial purposes. You must not use the Platform to:
- →Facilitate any transaction that violates applicable laws, including anti-money laundering (AML), counter-terrorism financing (CTF), or sanctions regulations of any applicable jurisdiction.
- →Process payments on behalf of entities or individuals appearing on OFAC, UN, EU, or equivalent sanctions lists.
- →Engage in or knowingly facilitate consumer fraud, phishing, or identity theft.
- →Probe, scan, or test the vulnerability of the Platform or circumvent any security mechanism.
- →Reverse-engineer, decompile, or disassemble any component of the Platform.
- →Resell or sublicense access to the Platform without our express written consent.
4. Account Security & Multi-Factor Authentication
You are solely responsible for maintaining the confidentiality of your account credentials. Multi-Factor Authentication (MFA) using a TOTP application is required for all Authorised Users and is enforced by the Platform. You must promptly notify TxnTrust at security@txntrust.com upon discovering any unauthorised use of your account.
TxnTrust cannot be held liable for losses arising from unauthorised account access resulting from your failure to safeguard credentials or report a compromise promptly.
5. Transactions & Payout Approvals
Certain transactions — including wire transfers above configurable thresholds — require explicit manual approval by an authorised administrator within your organisation before execution. TxnTrust will not release funds without a completed approval event in our system. You acknowledge that this approval requirement is a deliberate security mechanism and not a service deficiency.
FX conversions are executed at the exchange rate quoted at the time of your confirmed request. Exchange rate risk, including any adverse movement between quote and settlement, is borne by the Merchant. TxnTrust does not guarantee exchange rates beyond the locked-quote period specified at the time of transaction.
6. Fees & Payment
TxnTrust charges fees for platform access and transaction processing as set out in your executed subscription or service agreement. Fees are non-refundable except as required by law. We reserve the right to modify our fee schedule upon 30 days written notice.
7. Intellectual Property
TxnTrust and its licensors own all intellectual property rights in the Platform, including software, documentation, trademarks, and trade secrets. Your use of the Platform does not grant you any ownership rights therein. You retain ownership of all data you input into the Platform.
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TXNTRUST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AT ALL TIMES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TXNTRUST'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) USD $500. IN NO EVENT SHALL TXNTRUST BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.
10. Termination
Either party may terminate this agreement on 30 days written notice. TxnTrust may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, pose a regulatory risk, or are involved in fraudulent or illegal activity. Upon termination, your access to the Platform will cease and we will retain your data for the periods required by applicable law.
11. Governing Law & Disputes
These Terms are governed by and construed in accordance with applicable law. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to participate in a class action.
12. Changes to These Terms
We may modify these Terms from time to time. We will provide at least 30 days notice of material changes via email to your registered address and via a notice on the Platform. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms.
